The subscribing entity as identified during the registration process.

1. Grant of Licence

OPRaaS Ltd (“Licensor”) grants the Licensee a limited, non-exclusive, non-transferable licence to access and use the OPRaaS Self-Certification Training materials and audit tools (“Licensed Materials”) solely for the Licensee’s internal compliance purposes for the duration of the subscription.

2. Scope of Use

• Licensed Materials may only be used by internal staff or designated compliance professionals of the Licensee.

• The Licensee must not distribute, resell, sublicense, or allow third-party access to the Licensed Materials.

• Continued access to Licensed Materials beyond the original term requires a renewal of the licence.

• Licensees must not use or rely on previously accessed or downloaded course materials after the expiry of their licence term unless renewed.

3. Intellectual Property Rights

• All intellectual property rights relating to the Licensed Materials remain exclusively with OPRaaS Ltd.

• No transfer or assignment of intellectual property rights is granted to the Licensee under these terms.

4. Prohibited Uses

The Licensee explicitly agrees NOT to:

• Copy, modify, adapt, translate, or create derivative works from the Licensed Materials;

• Remove or obscure copyright or proprietary notices;

• Utilise the Licensed Materials to develop competing services or products.

5. Term and Renewal

• The licence remains valid for 12 months from the Effective Date.

• Licence renewal is contingent on the payment of the applicable annual subscription fee.

• OPRaaS Ltd reserves the right to update, revise, or revoke access to Licensed Materials upon expiry of the licence term.

6. Termination

• OPRaaS Ltd reserves the right to terminate this licence immediately upon the Licensee’s breach of any term within this agreement.

• Upon termination, the Licensee must immediately cease usage and permanently delete or destroy all copies of Licensed Materials.

7. Disclaimer and Limitation of Liability

• Licensed Materials are provided solely for informational and educational purposes.

• OPRaaS Ltd accepts no liability or responsibility for decisions, actions, or compliance outcomes arising from the Licensee’s use or interpretation of the content provided.

• The Licensee acknowledges sole responsibility for conducting due diligence, audits, and compliance assessments independently.

8. Governing Law

• This Licence Agreement is governed by and construed in accordance with the laws of England and Wales.
